Cancellation and Refund Policy
Effective date: [DOLDURULACAK] · Last updated: [DOLDURULACAK]
This Policy sets out the subscription cancellation and refund terms for the Leadivo service (the "Service") provided by [DOLDURULACAK] (the "Company") and forms an integral part of the Terms of Service and Subscription Agreement (the "Agreement"). Terms not defined here have the meaning given in the Agreement. The Turkish version (İptal ve İade Politikası) is authoritative and prevails in case of conflict.
1. Scope and consumer law
1.1. The Service is offered only to businesses acting within their trade or profession. The right of withdrawal under the Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation, and under EU consumer law, does not apply to the Agreement.
1.2. This Policy does not restrict any rights granted to the Customer by mandatory law.
2. Fee structure
| Item | When charged | Nature |
|---|---|---|
| Setup fee | Once, with the first payment | Consideration for procuring Sending Domains and Mailboxes, technical configuration and Warm-up; these items are ordered irrevocably from third-party providers for the Customer. |
| Monthly subscription fee | In advance, at the start of each Subscription Period | Consideration for providing the Service during the month. |
Payments are collected by LemonSqueezy acting as Merchant of Record; refunds are also made through LemonSqueezy to the original payment method.
3. Cancelling the subscription
3.1. The Customer may cancel its subscription at any time, without giving reasons, through the Platform or the LemonSqueezy customer portal or by written notice to [DOLDURULACAK].
3.2. Cancellation takes effect at the end of the paid Subscription Period. The Service continues uninterrupted until then; no fee is charged for the next period.
3.3. Data export and deletion after cancellation are governed by Section 14 of the Agreement (30-day export window, followed by deletion within at most 30 days).
4. Refund of the setup fee
4.1. Cancellation before infrastructure is ordered: Within 48 hours of payment, and provided that the Company has not yet ordered any Sending Domain or Mailbox, the Customer may cancel and request a full refund of the setup fee and the first monthly fee. Whether orders have been placed is determined by the setup status on the Platform and the Company's system records.
4.2. After infrastructure has been ordered: Once Sending Domain or Mailbox orders have been placed, performance of the services covered by the setup fee is deemed to have begun; from that moment the setup fee is non-refundable, subject to Sections 4.3 and 6.
4.3. Setup delay attributable to the Company: If, within 30 days of payment, the first send could not be made for reasons not attributable to the Customer (failure by the Customer to provide sender identity details, IYS registration details or an approvable Targeting Segment counts as a reason attributable to the Customer), the Customer may terminate the Agreement and request a full refund of the setup fee and the first monthly fee.
5. Refund of the monthly fee
5.1. The monthly fee is charged in advance and, except in the cases listed in Section 6, no partial (pro-rata) refunds are given for unused days. Cancelling during a Subscription Period does not prevent use of the Service until the end of that period.
5.2. No refund is given where the Service is suspended or the Agreement is terminated due to the Customer's breach (Agreement Sections 11.1(a), (e) and 13.3).
6. Exceptional cases with refunds
In the following cases, the Customer is entitled to a pro-rata refund of the prepaid fee for the unused period or, at its option, a credit against the next period's fee:
| Case | Refund scope |
|---|---|
| The Company terminates the Agreement without cause (Agreement 13.4) | Monthly fee for the unused period |
| The Customer terminates for the Company's material breach (Agreement 13.5) | Monthly fee for the unused period |
| Sending stops for more than 7 consecutive days within a Subscription Period for reasons not attributable to the Customer | Monthly fee for the downtime (credit or refund) |
| The Customer terminates because a justified objection to a new Sub-processor could not be resolved (Data Processing Agreement Section 8) | Monthly fee for the unused period |
| The Customer terminates before the effective date because it does not accept an amendment or price increase (Agreement 23.1) | Monthly fee for the unused period |
| Termination due to force majeure lasting more than 30 days (Agreement Section 21) | Monthly fee for the unused period |
| Duplicate charge, incorrect amount or technical payment error | The full amount charged in error |
7. Refund requests and process
7.1. Refund requests are sent to [DOLDURULACAK] with the order number and reasons.
7.2. The Company assesses the request within 10 business days at the latest and informs the Customer of the outcome. Approved refunds are made through LemonSqueezy to the original payment method. The time for the refund to appear depends on the bank and payment method.
7.3. Taxes charged on the refunded amount are refunded according to LemonSqueezy's practice. Exchange rate differences and charges by the card issuer are not the Company's responsibility.
7.4. Under its buyer terms, LemonSqueezy may issue refunds directly at its own discretion (e.g. to prevent chargebacks). A refund made this way may result in termination of the Service for the relevant Subscription Period.
8. Chargebacks
The Customer agrees to contact the Company to resolve any issue before disputing a charge. Initiating a chargeback without good reason and without first contacting the Company constitutes a breach of the Agreement; the Company may then suspend the Service.
